Position:Legal Counsel
Location: Head Office – Johannesburg
Salary: Market related

  • Reporting to Managing Director of South Africa

Main Duties

  • In this newly created legal counsel role you will beresponsible for business law advice and legalgovernance/compliance matters for the business and for the newly created ‘Hub’ for sub-Sahara distributionnetwork.
  • Direct reporting line is to the MD for the company and functional reporting to the Legal Director for company in South Europe &Africa.
  • The purpose of the role would be to: permanently focus on the sellingand operational side of the business while protecting the company’sinterests and ensuring good governance in compliance withapplicable laws.

Main tasks include:

  • Negotiating and drafting contracts of all sorts (specificallysale contract, supply chain contract and maintenance ofcompany’s templates).
  • Managing and advising on disputes/claims/Court litigationincluding handling of external counsels
  • There are complex construction projects and JBB contractsto review and handle
  • Legal issues related to a network of distributors in satellitecountries
  • Legal processes to be automatized (in line with the currentdigitalization wave currently happening in our Company)
  • Ongoing training and development of non-legally skilledbusiness colleagues.
  • Oversight of corporate secretarial matters and
  • Compliance work, partially handled by specialists withwhom you will be working very closely.

Qualification & Position Requirements:

  • Minimum of 6 years’ broad operational legal experience, inparticular in the construction industry, ideally gained at areputable law firm and/or in a major corporation.
  • Experience in dealing with construction (contentious andnon-contentious) matters: from high-profile complexprojects to “flow” transactions; Sub-contracting;(pre)litigation and dispute resolution
  • Familiarity with business practices and cultures in at leastsome parts of Africa, and with a strong corporatecompliance culture of a major corporation (e.g. anticorruption, international trade, investigations);
  • Strong academics, technical knowledge and analytical skills – with the ability to demonstrate a commitment toworking in Africa for at least the medium term and willingness to travel across the region;
